Please read these terms carefully before using the LedgeFlow Financial OS.

AcceptanceAccountsSubscriptionPaymentsBankingScreeningLeasingAI AgentsWebsitesCommunicationsAcceptable UseIP RightsLiabilityDisputesTerminationModificationsThese Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "Landlord", or "Resident") and Ledge Flow LLC ("LedgeFlow", "we", "us", or "our") regarding your use of the LedgeFlow platform, including its integrated financial services, AI-powered autonomous agents, and all related features.
1. Acceptance & Eligibility
By creating an account, accessing the Service, or using any LedgeFlow feature, you represent that you are at least 18 years of age and reside in the United States. LedgeFlow is currently optimized for US-based property management and financial regulations.
If you are entering into these Terms on behalf of a company, partnership, or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.
Important Disclaimer
LedgeFlow is a software platform. We are not a law firm, a certified public accountant (CPA) firm, a licensed real estate broker, or a bank. We do not provide legal, tax, or professional financial advice. Any information provided by LedgeFlow, including AI-generated insights, should not be treated as a substitute for professional counsel.
2. Account Responsibilities
Users are responsible for maintaining the confidentiality and security of their login credentials, including passwords and any linked authentication methods (e.g., Google OAuth). You must immediately notify us of any unauthorized access or breach of your account.
Landlords are solely responsible for the accuracy of all property data, lease terms, rent amounts, and other information entered into the platform. Landlords are also responsible for the legality of invitations sent to Residents and any actions taken through the platform on their behalf.
Residents are responsible for maintaining accurate contact and payment information within their tenant portal.
All Users agree to comply with all applicable federal, state, and local laws, including the Fair Housing Act, Americans with Disabilities Act (ADA), and all local landlord-tenant regulations when managing properties, screening tenants, or communicating through our platform.
3. Subscription & Billing
LedgeFlow operates on a subscription-based pricing model. By subscribing, you agree to the following terms:
- Base Plan: $49.00 per month, which includes management of up to 25 units and access to all platform features.
- Additional Units: $0.50 per month for each unit beyond the initial 25.
- Free Trial: New accounts receive a 14-day free trial with full feature access. No credit card is required to start the trial. You will be prompted to enter payment information before the trial expires.
- Billing Cycle: Subscriptions are billed monthly on the anniversary of your signup date. All fees are non-refundable except as required by applicable law.
- Price Changes: We reserve the right to adjust pricing with at least 30 days' written notice. Continued use after notice constitutes acceptance of the new pricing.
Stripe processing fees for ACH rent collection (0.8%, capped at $5.00 per transaction) are borne by the Landlord and are separate from LedgeFlow subscription fees.
4. Rent Collection & Stripe Connect
Rent collection is facilitated through Stripe Connect. LedgeFlow does not at any point take possession, custody, or control of rent funds.
- Funds flow directly from Resident to Landlord via the Stripe infrastructure.
- Landlords are responsible for all Stripe transaction fees as disclosed in the pricing dashboard.
- LedgeFlow may apply automated late fees on behalf of the Landlord based on pre-configured rules. Landlords are solely responsible for ensuring late fee amounts comply with applicable state and local regulations.
- LedgeFlow is not liable for failed payments, chargebacks, bank processing delays, or disputes between Landlords and Residents regarding rent amounts.
- Payment methods accepted include ACH bank transfers and credit/debit cards, as facilitated by Stripe.
By using the rent collection feature, both Landlords and Residents agree to Stripe's Connected Account Agreement and Stripe Services Agreement.
5. Banking & Treasury Services
- Property Wallets: LedgeFlow provides per-property financial accounts via Stripe Treasury, enabling segregated fund management and high-yield interest accrual.
- Security Escrow: Security deposits may be held in legally segregated escrow wallets. Landlords are solely responsible for ensuring compliance with state-specific security deposit laws, including interest disbursement where required.
- Maintenance Cards: Physical and virtual Visa debit cards are issued through Stripe Issuing. You are responsible for all transactions made with cards issued through your account. Unauthorized use must be reported immediately.
- Identity Verification: Federal regulations require identity verification (KYC) before accessing banking features. Failure to complete verification or suspected fraudulent activity may result in account suspension or freezing.
6. Tenant Screening
Screening reports are provided by TransUnion (SmartMove). LedgeFlow provides the interface to request and view these reports but is not responsible for:
- The accuracy, completeness, or timeliness of credit, criminal, or eviction data provided by TransUnion.
- Final leasing decisions made by the Landlord based on screening results.
- The Landlord's adherence to the Fair Credit Reporting Act (FCRA) during the adverse action process, including providing required notices to denied applicants.
- Compliance with state or local "ban the box" or fair-chance housing laws.
Landlord Responsibility
Landlords are solely responsible for using screening reports in compliance with all applicable laws. Screening reports may only be used for evaluating rental applications and may not be shared with unauthorized parties.
7. Digital Lease Signing
LedgeFlow integrates with DocuSeal to provide electronic lease signing capabilities. By using this feature:
- You consent to conducting lease transactions electronically in accordance with the Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA).
- Landlords are solely responsible for the content, legality, and enforceability of lease agreements created through the platform. LedgeFlow does not provide legal review of lease terms.
- Electronic signatures applied through LedgeFlow are intended to carry the same legal weight as handwritten signatures.
- Signed lease documents are stored securely and accessible through the dashboard and tenant portal.
8. AI Autonomous Agents & Insights
LedgeFlow leverages AI-powered autonomous agents (powered by Google Gemini) to assist with property management operations. These agents can take actions on your behalf, including but not limited to:
- Portfolio Agent: Record expenses, log maintenance requests, manage tasks, update unit statuses, process move-outs, add properties/units/tenants, draft leases, search residents, and compose communications.
- Bookkeeper Agent: Automated bookkeeping, expense categorization, and financial record-keeping aligned with IRS Schedule E categories.
- Leasing Agent: Automated lead qualification, applicant funnel management, and drip campaign orchestration.
- Facilities Agent: Maintenance dispatch, work order management, and vendor coordination.
AI Disclaimer
All AI-generated outputs—including financial insights, cash flow analyses, yield optimizations, tax categorizations, and drafted communications—are experimental and advisory only. They are not a substitute for professional legal, accounting, or property management advice. You are solely responsible for reviewing and approving any action taken by AI agents before it takes effect.
- AI agents operate within user-configured autonomy levels and guardrails. You may adjust the level of autonomous action in your Settings.
- LedgeFlow is not liable for any decisions made in reliance on AI-generated content or actions performed by autonomous agents.
- Always consult a licensed Tax Professional or CPA before filing your Schedule E or making major property investments based on AI recommendations.
9. White-Label Website Builder
LedgeFlow provides a white-label website builder that allows Landlords to create custom property portfolio websites with their own branding and optional custom domains.
- You retain ownership of all content you publish through your white-label website, including property descriptions, photos, and branding materials.
- You are solely responsible for ensuring all content complies with applicable laws, including Fair Housing advertising requirements and truth-in-advertising standards.
- LedgeFlow reserves the right to remove content that violates these Terms or applicable laws.
- Websites are hosted on LedgeFlow infrastructure and are subject to our uptime commitments and service availability.
10. Communications & SMS Consent
By using LedgeFlow, you consent to receiving communications from us and through our platform:
- Transactional Notifications: Automated email notifications for rent reminders, payment confirmations, late notices, maintenance updates, and lease-related communications delivered via Postmark and SendGrid.
- Platform Messages: In-app messaging between Landlords and Residents, including AI-drafted communications.
- SMS Communications: Opting in to receive automated SMS text messages from Ledge Flow LLC is completely voluntary and is not a condition or requirement of using our services or platforms. If you choose to opt-in, standard message and data rates may apply. You may opt out of SMS communications at any time by replying STOP to any text message received, or by texting HELP for support.
- Lead Communications: Drip email campaigns and follow-up messages sent to prospective tenants as part of the lead management system are sent on behalf of the Landlord. Landlords are responsible for compliance with CAN-SPAM Act and applicable anti-spam laws.
11. Acceptable Use Policy
You agree not to use LedgeFlow for any purpose that is unlawful or prohibited by these Terms. Prohibited uses include, but are not limited to:
- Discriminatory housing practices in violation of the Fair Housing Act or any state/local fair housing laws.
- Uploading, transmitting, or storing malicious code, viruses, or any data designed to disrupt or damage the platform.
- Attempting to gain unauthorized access to other users' accounts, data, or systems.
- Using the platform to facilitate money laundering, fraud, or other financial crimes.
- Misrepresenting property conditions, rent amounts, or other material facts to prospective or current tenants.
- Using screening reports for purposes other than evaluating rental applications.
- Reselling, sublicensing, or redistributing access to the LedgeFlow platform without written authorization.
- Interfering with or circumventing AI guardrails, security measures, or usage limits.
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.
12. Intellectual Property
The LedgeFlow platform, including its software, design, branding, AI models, documentation, and all related intellectual property, is owned by Ledge Flow LLC and protected by applicable copyright, trademark, and trade secret laws.
- Your Content: You retain full ownership of all data, documents, photos, and content you upload to LedgeFlow. By uploading content, you grant us a limited, non-exclusive license to use, store, and process your content solely to provide the Service.
- Our Platform: You may not copy, modify, reverse-engineer, decompile, or create derivative works of the LedgeFlow platform or any of its components.
- AI Outputs: Content generated by LedgeFlow's AI agents (e.g., drafted communications, reports, insights) is provided for your use within the platform. You may use AI-generated content in connection with your property management activities.
- Feedback: Any suggestions, ideas, or feedback you provide regarding the Service may be used by LedgeFlow without obligation or compensation.
13. Limitation of Liability
Crucial Notice
TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEDGEFLOW LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.
OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO LEDGEFLOW DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Without limiting the foregoing, LedgeFlow shall not be liable for:
- Errors, inaccuracies, or omissions in AI-generated content, insights, or autonomous agent actions.
- Actions taken by third-party service providers, including Stripe, TransUnion, DocuSeal, or partner banks.
- Losses resulting from unauthorized access to your account due to your failure to secure credentials.
- Losses resulting from reliance on financial data, tax categorizations, or reports generated by the platform.
- Service interruptions, downtime, or data loss caused by circumstances beyond our reasonable control.
14. Governing Law & Arbitration
These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising from or relating to these Terms or the Service that cannot be resolved through informal negotiation within thirty (30) days shall be settled via binding arbitration in Wilmington, DE, in accordance with the rules of the American Arbitration Association (AAA).
- The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
- Each party shall bear its own costs and attorney's fees in connection with arbitration, unless the arbitrator determines otherwise.
- Notwithstanding the foregoing, either party may seek injunctive or equitable relief in a court of competent jurisdiction to prevent irreparable harm.
YOU AGREE TO WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
15. Termination of Service
You may cancel your subscription at any time via the Settings dashboard. Upon cancellation:
- Your access will continue until the end of your current billing cycle.
- You may export your data (properties, financials, leases, tenant records) before your access expires. LedgeFlow provides data export tools in Settings to facilitate this.
- After account closure, your data will be retained for 90 days to allow for reactivation, after which it will be permanently deleted in accordance with our data retention policy.
- Any outstanding Stripe Treasury balances must be transferred before account closure. Unclaimed funds will be handled in accordance with applicable state unclaimed property laws.
LedgeFlow reserves the right to suspend or terminate access for any user who violates these Terms, fails to pay subscription fees, engages in fraudulent activity, or threatens the security or integrity of our platform or other users. We will provide reasonable notice before termination except where immediate action is necessary to prevent harm.
16. Modifications to Terms
LedgeFlow reserves the right to modify these Terms at any time. When we make material changes, we will:
- Provide at least 30 days' advance notice via email or in-app notification.
- Update the "Last Updated" date at the top of this page.
- Post the revised Terms on our website.
Your continued use of the Service after the effective date of any modification constitutes your acceptance of the updated Terms. If you do not agree with the changes, you must discontinue use of the Service and cancel your account.
18. Miscellaneous
- Entire Agreement: These Terms, together with our Privacy Policy and any applicable Stripe agreements, constitute the entire agreement between you and LedgeFlow regarding the Service.
- Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
- Waiver: The failure of LedgeFlow to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. LedgeFlow may assign its rights and obligations under these Terms without restriction.
- Force Majeure: LedgeFlow shall not be liable for any failure to perform due to circumstances beyond our reasonable control, including natural disasters, acts of government, internet outages, or third-party service failures.
