IndemnityThis Twilio Automated SMS Messaging Consent and Telephone Consumer Protection Act (TCPA) Agreement ("SMS Agreement") governs the use of automated text messaging features within the Ledge Flow LLC (doing business as "LedgeFlow") platform. This agreement applies to all Landlords, Tenants, and Applicants who opt-in to send or receive communications through our virtual phone systems.
1. AI Messaging & Automation Authorization
By enabling or participating in Ledge Flow LLC's SMS integrations, you authorize the platform to send automated text messages (SMS) on your behalf or to your designated mobile phone number. These messages are utilized to streamline rental operations and include:
- Conversational pre-screening dialogues conducted by the AI Leasing Agent ("The Rainmaker").
- Real-time maintenance triage, coordinator dispatches, and technician status alerts from the Facilities Swarm.
- Automated payment alerts, rent ledger balance notifications, and late fee reminders.
All SMS messaging relies on virtual phone lines provisioned via Twilio on behalf of the registered landlord business. Automated responses are triggered directly by LedgeFlow's Gemini-powered Swarm Agents.
2. Mandatory Landlord Prior Consent Obligation

Landlords represent, warrant, and agree that they will obtain explicit, prior express written consent from every tenant, prospect, applicant, or technician before inputting their numbers into LedgeFlow or initiating any automated text sequences.
Before a text conversation can begin, the Landlord must inform the recipient that:
- They will receive automated messages related to leasing, screenings, maintenance coordination, or rent notices.
- Receiving these automated texts is voluntary and is not a requirement to execute a lease or purchase services.
- Standard mobile carrier rates and message frequencies may apply.
Landlords are solely responsible for keeping and maintaining verifiable records of such consent and must produce them to LedgeFlow upon request.
3. Compliance Standards & Prohibited Content
LedgeFlow enforces a strict zero-tolerance policy for unsolicited automated messages (spam) in compliance with the TCPA (47 U.S.C. § 227), regulatory mobile carrier guidelines, and Twilio regulatory registration standards.
You agree not to use the LedgeFlow system to send text messages containing:
- Promotional offers, advertisements, or marketing campaigns not related to the immediate leasing or management of your properties.
- Debt collection threats, credit repair services, or high-risk financial marketing.
- Messages sent to telephone numbers registered on federal or state Do-Not-Call registries without prior written exemption.
4. Opt-Out Mechanism & Carrier Rates
LedgeFlow values recipient privacy and provides automated unsubscribe safeguards:
- Opt-Out Keyword: Recipients can unsubscribe at any time by replying with standard keywords: STOP, CANCEL, UNSUBSCRIBE, QUIT, or END.
- Automatic Block: Once received, the system will immediately block the number and suspend all automated agent replies.
- Help Directions: Recipients can text HELP to obtain support instructions, support contact emails, or details on how to opt-in again.
Carrier Rates: Message and data rates applied by the recipient's mobile carrier may apply to all incoming and outgoing messages. LedgeFlow is not responsible for any carrier fees incurred by users.
5. SMS Consent Data Practices
We treat SMS opt-in data with strict confidentiality. No mobile telephone numbers collected for SMS consent will be shared, sold, rented, or leased to third-party marketing firms or affiliates for promotional purposes.
Your opt-in consent data and phone numbers are shared solely with Twilio (our core carrier gateway infrastructure) to the extent necessary to deliver the messaging service.
6. Indemnity & Regulatory Disclaimers
THE LANDLORD AGREES TO INDEMNIFY, DEFEND, AND HOLD HARMLESS LEDGEFLOW LLC, ITS OFFICERS, EMPLOYEES, AND PARTNERS FROM AND AGAINST ANY CLAIMS, DAMAGES, PENALTIES, OR CLASS ACTION LAWSUITS ARISING OUT OF THE LANDLORD'S FAILURE TO OBTAIN EXPLICIT PRIOR EXPRESS WRITTEN OPT-IN CONSENT FROM RECIPIENTS, OR ANY VIOLATION OF TCPA REGULATIONS OR MOBILE CARRIER POLICIES.
LedgeFlow does not warrant that SMS deliveries will be uninterrupted or error-free. We are not liable for delayed, blocked, or dropped messages resulting from mobile carrier filtering, network outages, or Twilio service disruptions.
